Our services include strategy development, content creation, market analysis, and other professional consulting services. By using our services, you confirm that you have the legal capacity to enter into this Agreement. If you are using the services on behalf of a company or organization, you represent and warrant that you have the authority to bind the company or organization to these terms.

3. Consulting Agreements and Fees

• Consulting Engagements: All consulting engagements with Duodecima Consulting will be formalized through a written agreement, which will outline the scope of services, timelines, deliverables, and payment terms.
• Payment: Payments for services rendered are due as outlined in the agreement. Invoices will be issued based on the agreed payment terms. Payments may be made by credit card, bank transfer, or other methods as outlined in the agreement.
• Late Payment: If payment is not made on time, we reserve the right to charge late fees, suspend services, or terminate the agreement as appropriate.

4. Client Responsibilities

You agree to:

• Provide accurate, timely, and complete information to Duodecima Consulting to allow us to deliver the agreed-upon services.
• Cooperate fully in the execution of the services and make available any necessary resources, staff, or access to data that may be required.
• Adhere to all applicable laws and regulations while using our services.

5. Intellectual Property

• Ownership: All content, materials, and deliverables produced by Duodecima Consulting as part of the consulting services, including reports, presentations, designs, and strategies, are owned by Duodecima Consulting until payment is received in full. Upon full payment, ownership of deliverables may be transferred to you, subject to any agreed-upon terms.
• Client-Provided Content: Any materials or information provided by you (the client) will remain your property, but by submitting these materials, you grant us a non-exclusive, royalty-free license to use, modify, or incorporate them into the deliverables, as necessary for the performance of services.

6. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information shared during the course of the engagement. This includes any business strategies, financial data, intellectual property, or other information that is not publicly available. The confidentiality obligation will survive the termination of this Agreement.

7. Termination

• Termination by You: You may terminate the engagement at any time by providing written notice to Duodecima Consulting. However, you will be responsible for paying for any services rendered and any non-cancellable costs incurred prior to termination.
• Termination by Us: We may terminate the Agreement if you fail to make timely payments, violate these Terms and Conditions, or otherwise act in a way that prevents us from effectively providing our services.

8. Limitation of Liability

• No Warranty: We make no representations or warranties regarding the outcome of the services provided. While we strive to deliver high-quality services, success cannot be guaranteed as it is influenced by various factors beyond our control.
• Limitation: In no event will Duodecima Consulting be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits or lost data, arising out of or in connection with the use of our services.

9. Indemnification

You agree to indemnify, defend, and hold Duodecima Consulting harmless from any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of your use of our services, including any violation of this Agreement or the infringement of any third-party rights.

10. Privacy and Data Protection

We are committed to protecting your privacy and personal information. Please refer to our Privacy Policy for details on how we collect, use, and safeguard your data. By using our services, you consent to our data practices as outlined in the Privacy Policy.

11. Amendments to These Terms

12. Governing Law and Dispute Resolution
